The Code of Ethics of the Intesa Sanpaolo Assicurazioni Group, approved by the Board of Directors of Intesa Sanpaolo Assicurazioni S.p.A., the last Italian parent company of the Intesa Sanpaolo Assicurazioni Group, explains the values in which the Intesa Sanpaolo Assicurazioni Group believes and on which it wishes to commit, declining the principles of conduct that flow from it in the context of the relationship with each interlocutor (Customers, Suppliers, Shareholders, Collaborators, the Community and the Environment). The reference values and principles of conduct contained therein are, therefore, to be considered extended to all the Staff of the Companies belonging to the Intesa Sanpaolo Assicurazioni Group. From the Group's code, which is inspired by the Code of Ethics of the Parent Intesa Sanpaolo, derives the Company's Code of Ethics that replicates shared reference values and principles of conduct.
Code of Conduct
The Group's Internal Code of Conduct defines the rules of conduct of representatives, employees and external collaborators who, within the scope of their functions, are required to carry out their activities with professionalism, diligence, honesty and fairness, pursuing the interests of the Company and the Group, Customers and Shareholders.
Organisational Model 231
The purpose of the Organisation, Management and Control Model is to introduce and make binding on the Company the principles and rules of conduct relevant to the reasonable prevention of the crimes indicated in Legislative Decree No. 231 of 8 June 2001. This Model has been approved by the Company's Board of Directors. The Decree, containing the “Discipline of administrative liability of legal persons, companies and associations including without legal personality”, introduced into the Italian legal system a regime of administrative liability for entities (to be understood as companies, associations, consortia, etc.) for strictly listed crimes committed in their interest or advantage. The entity's liability is in addition to, and independent of, that of the natural person who actually committed the offence.
The anti-corruption policy
The Anti-Corruption Policy of the Intesa Sanpaolo Assicurazioni Group, approved by the Board of Directors of Intesa Sanpaolo Assicurazioni S.p.A., the last Italian parent company of the Intesa Sanpaolo Assicurazioni Group, identifies general principles, identifies sensitive areas and defines roles and responsibilities, as well as macro processes for managing the risk of non-compliance related to any type of corruption, with the purpose of further strengthening the principles and indications contained in the Code of Ethics, in the Code of Conduct and in the 231 Organisational Model.
