Notice to shareholders: shareholding update as at 14 november 2025

Reference is made to the shareholder's information notice published on 31 October 2025, in which it was communicated that the Board of Directors of Intesa Sanpaolo Assicurazioni S.p.A. had ascertained the redeemability of the shares by the majority shareholder pursuant to Article 7 paragraph 2 letter a) of the Articles of Association, having found that the minority shareholders’ shareholding had fallen below the critical threshold of 99,000 Aggregate Shares, as defined in the Articles of Association.
We inform you that, following the purchase by the majority shareholder Intesa Sanpaolo S.p.A. of a further 23,731 shares of the Company held by the minority shareholders, the Aggregate Shares – amounting to 64,106 as at 31 October 2025 – have fallen again to 39,515. The updated shareholding structure as at 14 November 2025 is as follows:
